MAINTENANCE AND LOYALTY AGREEMENT


This agreement is made between Mad Ladder Roofing (the “Company”) of with offices locate at 260 Northland Blvd., Cincinnati, Ohio, and (the “Owner”), for the property (the, “Premises”). For the consideration subsequently named, and contingent on causes or delays beyond their control, the parties agree as follows:


Roof and Gutter Maintenance


1. Company shall perform the following services annually at the Premises:

Roof inspection

Roof cleaning

Gutter cleaning

Re - seal any vents, flashing and shingles (if needed)

soft wash (if needed)

Consideration


2.  Owner shall pay Company the sum of $239.88 per year payable in monthly installments of $19.99 per month, beginning on _____________. In addition, there will be a $80 start up charge plus tax. All payments must be made by recurring billing to Owner’s credit card or via ACH.

Loyalty Discount


3. At any time while this Maintenance Agreement is in effect, provided the Owner has made all payments as required under Paragraph 2, Owner shall be entitled to a $1,000 Loyalty Discount from Company on the installation of a new roof at the Premises.  


Term of Agreement


4. The term of this lease agreement shall be for 1 year and shall automatically be renewed for an additional 12 months unless terminated in accordance with Paragraph ___.

 Entry on Premises


5. Owner authorizes Company to have access to Owner’s premises at any time for the purposes of performing roof and gutter maintenance. The Owner agrees to cooperate with the Company and Company’s technicians when scheduling annual maintenance.


Inspection and Repair


6. Company shall make all inspections necessary for the upkeep of the Premise’s roof and gutters.  In the event any necessary repairs identified by the Company’s technician, the Owner may enter into a separate written agreement with the Company for the completion of those repairs which shall be performed at Company’s then applicable rates. 


Liquidated Damages


7. Company is not an insurer, and the payments previously specified in this agreement are based solely on the value of the service provided. In the event of failure to perform such service and a resulting loss, its liability shall be limited to and fixed at the sum of $239.88 as liquidated damages and not as a penalty, and this liability shall be exclusive.


Renewal of Agreement


8. This lease agreement shall be automatically continued and renewed for a term of 1 year unless either party shall notify the other party in writing 45 days before the date of renewal that this Agreement is not to be renewed.


Dispute Resolution


9. Any controversy or claim arising from this Agreement shall be settled by binding arbitration conducted in Hamilton County, Ohio, and shall be governed by the rules of the American Arbitration Association then in effect.

Fee's


10.


 - Excessive organic material fee

 overgrown moss or something that we have to scrape off may result in a onetime $99 fee.

- Excessive steepness charge 

anything over a 9+ pitch roof may result in a $99 fee 

-Large roof fee 

any roof at or over 40 squares or 4,000 sq feet is subject to a $99 oversize fee 

any 20sq or 2,000 sq feet larger than that is an additional $99
